1. Introduction & Acceptance of Terms
1.1. These Terms and Conditions (“Terms”) govern access to and use of the online platform known as “INQDEJT”, including any associated website, mobile interface, features and services (the “Platform”).
1.2. The INQDEJT logo is a registered European Union Trade Mark (EUTM). The INQDEJT name and associated branding elements are protected under applicable intellectual property and unfair competition laws. Unauthorised use is strictly prohibited.
1.3. The Platform is owned and operated by Karl Grech, trading as “INQDEJT” with Maltese VAT number 2809-7119 (the “Operator”). References in these Terms to “we”, “us”, or “our” shall be construed as references to the Operator in his capacity as owner and operator of the Platform.
1.4. By accessing, browsing, registering on, submitting content to, or otherwise using the Platform, you confirm that you have read, understood and agree to be legally bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must refrain from using the Platform.
1.5. These Terms constitute a legally binding agreement between the Operator and:
⁃ Any individual accessing or using the Platform (“Patron”); and
⁃ Any business or authorised representative creating, claiming or managing a Business Profile on the Platform (“Business”)
For the avoidance of doubt, references to “Patron” may include Businesses where the context so requires.
2. Definitions & Interpretation
2.1. Definitions
“Business” means any company, sole trader, professional or service provider listed on the Platform or in respect of whom a Review may be submitted.
“Business Profile” means a page or listing on the Platform relating to a Business, whether automatically generated, manually created or claimed.
“Claimed Profile” means a Business Profile which has been claimed by an authorised representative of the relevant Business in accordance with these Terms.
“Operator” means Karl Grech, trading as “INQDEJT”, as identified in Section 1.
“Platform” means the INQDEJT online website and any associated digital interfaces through which Reviews and Business Profiles are made available.
“Privacy Policy” means the INQDEJT Privacy Policy published on the Platform, as amended from time to time, which sets out how personal data is collected, processed, stored and protected in connection with the use of the Platform.
“Review” means any text, rating, comment, feedback or other content submitted by a Patron relating to the Business.
“Terms” means these Terms and Conditions, as amended from time to time.
“Patron” means any individual who accesses or uses the Platform, whether or not they create an account.
2.2. Interpretation
References to:
▪ “including” shall be construed without limitation;
▪ a person include individuals and legal entities;
▪ the singular include the plural and vice versa where the context permits.
Headings are for convenience only and shall not affect interpretation.
3. Nature of the Platform
3.1. The Platform is an online intermediary service that enables Patrons to submit, publish and view Reviews relating to businesses and service providers operating in Malta.
3.2. The Platform is positioned as a service designed to highlight positive customer experiences and to assist Patrons in identifying businesses where they are well served. Reviews are published in accordance with the Platform’s moderation standards and editorial discretion. Constructive criticism may be included within an overall positive Review, provided it is expressed respectfully and reflects a genuine experience.
3.3. The Platform is not intended to provide a complete, statistically representative, balanced or exhaustive overview of all customer experiences relating to any listed Business. Patrons acknowledge that not all submitted Reviews may be published and that the content displayed may reflect moderated and curated publication criteria.
3.4. The Operator acts solely as an intermediary hosting provider of Patron-generated content. The Operator does not create, commission, verify, endorse or otherwise exercise control over the substantive content of individual Reviews, save for moderation in accordance with these Terms.
3.5. The Operator is not a party to any agreement, transaction or interaction between a Patron and a Business. Any dispute, claim or disagreement arising between a Patron and a Business in relation to goods, services or Reviews shall be resolved directly between those parties. The Operator shall not be responsible for mediating, adjudicating or otherwise becoming involved in such disputes.
3.6. The Operator does not provide, sell, supply or recommend the goods or services Reviewed on the Platform. No partnership, agency, employment or joint venture relationship exists between the Operator and any listed Business.
3.7. Reviews published on the Platform reflect the personal opinions and experiences of Patrons. They do not constitute endorsements, guarantees, recommendations, professional advice or representations made by the Operator.
3.8. The Operator does not guarantee the accuracy, completeness, reliability or authenticity of any Review and shall not be responsible for any reliance placed on Patron-generated content.
3.9. Patrons and Businesses acknowledge that the Platform may apply moderation standards consistent with its purpose of highlighting positive experiences. Publication of content is subject to editorial discretion and compliance with these Terms.
3.10. Nothing in these Terms shall be construed as creating an obligation on the Operator to monitor all content proactively. However, the Operator reserves the right to review, remove, restrict or refuse content where it reasonably considers such content to breach these Terms or applicable law.
4. Claiming & Managing a Business Profile
4.1. Business Profiles on the Platform may arise in several ways. A profile may be automatically generated using publicly available information to allow Patrons to submit Reviews. A Business may also create a profile directly through the Platform. In certain cases, a Business may both create and claim a profile simultaneously. The existence of a profile, whether auto-generated or manually created, does not in itself create any contractual relationship between the Operator and the Business.
4.2. A Business may request to claim an existing profile in order to verify its identity and, upon successful verification, manage certain aspects of the profile, including updating business information and responding to Reviews through the features made available on the Platform.
4.3. To claim a Business Profile, the individual acting on behalf of the Business must confirm and warrant that they are duly authorised to represent and bind the Business to these Terms and must provide accurate and complete information for verification purposes. The Operator shall be entitled to rely on such confirmation and warranty of authority unless it has actual knowledge to the contrary.
4.4. The Operator may, particularly in relation to profile claims, implement reasonable and proportionate verification procedures to confirm the identity and authority of the person seeking to claim the profile. Such measures may include documentary confirmation, email verification, business contact validation or other methods reasonably determined by the Operator.
4.5. The Operator reserves the right to approve or refuse a claim request where verification is incomplete, inconsistent or raises reasonable concerns. Verification measures are intended to reduce the risk of misrepresentation; however, the Operator does not guarantee the authenticity of any Claimed Profile beyond the verification steps reasonably applied.
4.6. Only a Business that has successfully claimed and verified its Business Profile in accordance with this Section may update its publicly displayed business information and confirm the accuracy of the details associated with that profile. Claiming a profile does not grant the Business ownership of the profile page or editorial control over Reviews. Reviews remain the content of the respective Patrons and may not be edited, altered or removed by any Business. A verified Business may, however, post responses or comments to Reviews through the features made available on the Platform, provided that such responses comply with these Terms and applicable law.
4.7. Where a Business has successfully completed the Operator’s verification process, its Business Profile may be identified on the Platform as “Verified” or through a similar visual indicator. “Verified” status signifies only that the Operator has undertaken reasonable steps to confirm the identity of the person claiming the profile and the existence of the Business. Verification does not constitute endorsement, recommendation, certification of quality, regulatory approval, or confirmation of the accuracy of all information associated with the Business. Verified status does not affect the moderation standards applicable to Reviews and does not guarantee the authenticity, reliability or accuracy of any content published on the Business Profile.
4.8. The Operator reserves the right to suspend, deactivate or remove any Business Profile, whether claimed or not, in accordance with Section 13 (Suspension, Restrictions & Termination)
4.9. A Business may request correction or removal of inaccurate information through the Complaints and Notice Procedure set out in Section 11.
5. Sponsored Content and Paid Listing
5.1. The Platform may, from time to time, include sponsored content, paid listings, promotional placements or other forms of commercial advertising.
5.2. Any sponsored or paid content shall be clearly identified as such, including through labelling such as “Sponsored”, “Advertisement”, or similar wording, so that Patrons can distinguish it from Patron-generated content.
5.3. The inclusion of sponsored content does not constitute an endorsement or recommendation by the Operator.
5.4. Sponsored or paid listings shall not influence the moderation standards applicable to Patron-generated Reviews. Reviews remain subject to the same publication criteria irrespective of any commercial relationship.
5.5. The Operator reserves the right to determine the placement, format and visibility of sponsored content at its discretion, provided that such content is clearly distinguishable from organic listings and Patron Reviews.
5.6. Where the ranking, prominence or visibility of certain Businesses is influenced by payment or other commercial arrangements, the Platform shall clearly, prominently and in an understandable manner inform Patrons that such influence exists and shall provide general information regarding the principal parameters determining ranking, in accordance with applicable consumer protection and online platform legislation.
6. Legal Capacity & Eligibility
6.1. By accessing or using the Platform, you represent and warrant that:
i. You are at least eighteen (18) years of age;
ii. You possess the legal capacity and authority to enter into binding agreements;
iii. All information provided by you is accurate, complete and not misleading; and
iv. Your use of the Platform and any content submitted by you complies with applicable law and does not infringe the rights of any third party.
These representations are deemed to be repeated each time you access or use the Platform.
4.2. Where a person actively creates or claims a Business Profile on the Platform on behalf of a Business, that person confirms and represents that they are duly authorised to act on behalf of the relevant Business and to bind it to these Terms, and that all information provided in connection with such profile is accurate and not misleading.
4.3. The Operator reserves the right, at its discretion, to request reasonable information or documentation to verify identity, authority or the accuracy of the submitted information.
4.4. The Operator may suspend, restrict or terminate access to the Platform where it reasonably believes that any representation made under this Section is false, misleading or unauthorised.
4.5. Reviews may only be submitted by registered Patrons. Anonymous submissions are not permitted. Patrons must provide accurate account information and, where applicable, complete the Platform’s account verification procedures (such as email verification).
7. Prohibited Conduct and Content
7.1. Patrons shall not use the Platform to submit, publish or transmit any Review, response, comment or other content on the Platform that :
i. Is false, misleading, fabricated or not based on a genuine personal experience;
ii. contains defamatory statements, unverified allegations of wrongdoing, or assertions presented as fact which cannot reasonably be substantiated;
iii. is abusive, threatening, harassing, discriminatory, obscene, or otherwise unlawful;
iv. infringes the intellectual property, privacy, data protection or other legal rights of any third party;
v. discloses personal data of third parties without lawful basis or consent;
vi. impersonates another person or misrepresents identity, affiliation or authority;
vii. is submitted for the purpose of manipulating ratings, rankings or public perception;
viii. constitutes spam, promotional content, or commercial advertising not authorised by the Operator;
ix. constitutes an incentivised Review that does not comply with the requirements set out in Section 8 (Incentivised Reviews).
x. is primarily negative or critical and does not reflect an overall positive experience, taking into account the Platform’s positioning as described in Section 3.
10.2. Businesses shall not:
i. submit, authorise, commission or cause to be submitted Reviews relating to their own business under false identities or through undisclosed affiliated persons;
ii. encourage, solicit or procure Reviews that are false, misleading or fabricated;
iii. engage, directly or indirectly, in coordinated activity intended to artificially influence ratings, visibility, rankings or overall perception of any Business on the Platform;
iv. submit, procure or facilitate Reviews that are false or submitted primarily for the purpose of distorting competition or unfairly harming competitors rather than reflecting a genuine personal experience;
v. create or operate multiple accounts for the purpose of manipulating Reviews, ratings or engagement metrics;
vi. interfere with, circumvent or attempt to bypass the Platform’s moderation, verification or integrity safeguards.
6.3. Nothing in this Section shall prevent Patrons from expressing genuine opinions or constructive criticism within an overall positive Review, provided such content reflects a real personal experience and complies with these Terms.
6.4. The Operator reserves the right, at its discretion and without prior notice, to:
i. refuse publication of any Review or content submitted to the Platform;
ii. remove, edit, restrict, reclassify or temporarily suspend access to any content where it reasonably considers that such content may breach these Terms or applicable law;
iii. request clarification, supporting information or documentation from a Patron or Business in relation to any submitted content;
iv. suspend, restrict or terminate Patron accounts or Business Profiles where the Operator reasonably believes there has been a breach of these Terms or conduct that threatens the integrity of the Platform;
v. implement reasonable technical and procedural measures designed to protect the integrity of Reviews and prevent manipulation, abuse or circumvention of the Platform’s systems;
vi. take such further action as the Operator reasonably considers necessary to protect the integrity, security or lawful operation of the Platform.
The Operator may exercise the above rights in a proportionate manner and in good faith.
6.5. The exercise of moderation or enforcement powers under this Section shall not be construed as creating any general obligation on the Operator to monitor content proactively or to verify the factual accuracy of Reviews prior to publication.
8. Incentivised Reviews
8.1. Reviews submitted to the Platform must reflect the genuine, independent and honest opinion of the Patron based on their personal experience.
8.2. Patrons shall not submit Reviews in exchange for payment, discounts, free products, services or any other benefit offered by a Business unless such arrangement is clearly and prominently disclosed within the Review and expressly permitted by the Operator.
8.3. Businesses shall not:
i. offer, promise or provide incentives for the purpose of obtaining false, misleading or fabricated Reviews;
ii. condition discounts, benefits or services on the submission of a positive Review;
iii. engage in conduct intended to artificially influence ratings, visibility or overall perception on the Platform.
3.4. Any incentivised Review permitted under this Section must include a clear and prominent disclosure of the incentive within the Review content. The Operator may specify the form, wording or labelling of such disclosure to ensure transparency to Patrons.
3.5. Where the Operator becomes aware, whether through complaint, investigation or otherwise, of a suspected breach of this Section, the Operator may Review the matter in good faith and take proportionate action, including removal of affected Reviews, labelling of incentivised content, suspension or termination of the relevant account, or other measures reasonably necessary to protect the integrity of the Platform.
3.6. The Operator is not responsible for undisclosed arrangements between Patrons and Businesses but reserves the right to investigate complaints or suspicious patterns relating to incentivised or manipulated Reviews.
9. Limitation of Liability
9.1. The Platform is provided on an “as is” and “as available” basis. The Operator makes no warranties or representations, express or implied, regarding the availability, reliability, accuracy or completeness of the Platform or its content.
9.2. The Operator acts as an intermediary hosting provider of Patron-generated content and shall not be liable for any loss or damage arising from Reviews or other content submitted by Patrons, save where the Operator has failed to remove or restrict access to unlawful content after obtaining actual knowledge thereof, in accordance with applicable law.
9.3. Patrons and Businesses acknowledge that reliance on any Review or content published on the Platform is at their own risk.
9.4. To the fullest extent permitted by law, the Operator shall not be liable for any indirect, incidental, consequential or economic loss, including loss of profit, loss of business, loss of goodwill or reputational harm arising out of or in connection with the use of the Platform.
9.5. To the extent permitted by law, the Operator’s total liability arising out of or in connection with the use of the Platform shall not exceed the total amount paid (if any) by the relevant Patron or Business to the Operator in the twelve (12) months preceding the event giving rise to the claim.
9.6. Nothing in these Terms shall exclude or limit liability for fraud, wilful misconduct or any liability which cannot be excluded or limited under applicable law.
10. Indemnity
10.1. You agree to indemnify and hold harmless the Operator from and against any claims, demands, actions, proceedings, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with:
i. Content submitted by you to the Platform;
ii. Your breach of these Terms;
iii. Your violation of applicable law;
iv. Any infringement of the rights of a third party.
4.2. Where a Business creates or claims a Business Profile, the Business shall indemnify and hold harmless the Operator from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with:
i. incentivised, fabricated or manipulated Reviews connected to the Business;
ii. false or misleading information provided in connection with a Business Profile;
iii. any lack of authority of a person purporting to act on behalf of the Business; and
iv. disputes between the Business and Patrons arising from the goods or services Reviewed.
11. Complaints & Notice Procedure
11.1. Any Patron, Business or third party who believes that content published on the Platform is unlawful, inaccurate, misleading, defamatory, infringes intellectual property or privacy rights, constitutes undisclosed incentivised content, or otherwise breaches these Terms may submit a formal complaint to the Operator. The submission of a complaint does not automatically result in the removal of the content.
11.2. Complaints may be submitted through any of the following channels made available on the Platform:
i. By email to: info@inqdejt.com (or such other address as may be published on the Platform from time to time).
ii. Through the dedicated “Contact” tab available on the Platform, which may include a structured online submission form.
iii. By using the “Report” button or reporting function attached to individual Reviews or content, where available.
The Operator reserves the right to update or modify the designated complaints channels, provided that a reasonable and accessible method for submitting complaints remains available on the Platform.
3.3. To enable proper Review, a complaint should clearly identify the content concerned, explain the legal or factual basis of the complaint, provide any supporting evidence reasonably available, and include the complainant’s contact details. The Operator may request additional information where reasonably necessary to assess the complaint properly. Complaints that are manifestly incomplete, abusive, repetitive or submitted in bad faith shall be disregarded.
3.4. Upon receipt of a sufficiently substantiated complaint, the Operator shall Review the relevant content in good faith and determine, within a reasonable timeframe, whether it appears to breach these Terms or applicable law. In assessing a complaint, the Operator may consider the seriousness of the allegation, the clarity of the supporting evidence, the potential harm involved, and the need to balance protection against unlawful content with freedom of expression and fair use of the Platform.
3.5. The Operator acknowledges that customer experiences are inherently subjective and that different individuals may have differing views regarding the same Business or service. Accordingly, a complaint based solely on disagreement with a Patron’s personal opinion, or on the fact that another person’s experience differs, shall not in itself constitute grounds for removal. Complaints must identify a specific breach of these Terms or applicable law rather than merely express dissatisfaction or subjective disagreement. The Operator is not required to remove content solely because it is disputed, contested or subject to disagreement.
3.6. Where the Operator reasonably determines that content breaches these Terms or applicable law, the Operator may take proportionate action, including removal or restriction of access to the content, requesting clarification from the submitting Patron, applying contextual labelling where appropriate, suspending or terminating accounts, or taking such other measures as reasonably necessary.
3.7. The Operator may decline to act where the complaint concerns a bona fide factual disagreement or difference of opinion between Patrons and Businesses.
3.8. The Operator acts as an intermediary hosting provider of Patron-generated content. The Operator shall only be required to remove or restrict access to content where it has actual knowledge that the content is unlawful and does not take reasonable steps to address it. Actual knowledge may arise following receipt of a sufficiently substantiated notice submitted under this Section 11 or pursuant to a binding order of a competent authority. For avoidance of doubt, the Operator is not under a general obligation to monitor content proactively.
3.9. The complaints mechanism must not be used to suppress legitimate opinions, to harass Patrons, or to gain an unfair commercial advantage. Repeated submission of manifestly unfounded or abusive complaints may result in restriction or suspension of access to the Platform.
12. Intellectual Property
12.1. The Platform, including its design, layout, interface, structure, software, database compilation, text (excluding Patron-generated content), graphics, logos, trademarks, and other content created by or on behalf of the Operator, is owned by the Operator and is protected by applicable intellectual property laws. The figurative logo “INQDEJT” is a registered European Union trademark. All rights in and to the logo are reserved.
12.2. Patrons retain ownership of the content they submit to the Platform, including Reviews. By submitting content to the Platform, Patrons grant the Operator a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, and adapt or format such content (including for technical, layout, moderation or presentation purposes, provided that the substance of the Review is not materially altered), and to make such content available on the Platform in connection with its operation. This licence shall continue for as long as the content remains published on the Platform.
12.3. Where a Business submits or uploads logos, trade names, images or other branding materials to the Platform, the Business represents that it has the necessary rights and authority to do so. By submitting such materials, the Business grants the Operator a non-exclusive, royalty-free licence to display, reproduce and make such materials available on the Platform for the purpose of operating, promoting and maintaining the Business Profile. The Business remains the owner of its intellectual property at all times.
12.4. Except as expressly permitted under these Terms, no Patron or Business is granted any licence or right to use, reproduce, copy, distribute, modify or exploit any part of the Platform or its content without prior written consent of the Operator.
12.5. Patrons and third parties shall not extract, scrape, reproduce, systematically download, or reuse substantial parts of the Platform’s content or database for commercial or competitive purposes without prior written consent. The compilation, arrangement and presentation of content on the Platform constitute proprietary material of the Operator.
12.6. Any person who believes that content published on the Platform infringes their intellectual property rights may submit a complaint in accordance with Section 11 [Complaints and Notice Procedure].
12.7. The Platform may generate or display Business Profiles using information obtained from publicly available sources for the purpose of allowing Patrons to leave Reviews and making Businesses visible on the Platform. The inclusion of such information, including trade names, logos or publicly accessible branding materials, does not imply endorsement, affiliation, authorisation or partnership between the Operator and the relevant Business. All intellectual property rights in such materials remain the property of the respective Business or rights holder. Upon claiming a profile, the Business may update, verify or correct the information displayed in accordance with these Terms.
13. Suspension, Restrictions & Termination
13.1. The Operator reserves the right, at its discretion, to suspend, restrict, deactivate or terminate access to the Platform, remove or edit content, or disable a Patron or Business Profile where it reasonably considers that a breach of these Terms has occurred, that repeated conduct is inconsistent with the purpose of the Platform, or that such action is necessary to protect the integrity, lawful operation or reputation of the Platform.
13.2. The Operator may adopt appropriate measures without prior notice where it reasonably believes that immediate intervention is required to prevent harm, ongoing breach, legal exposure or risk to other Patrons or Businesses. Nothing in these Terms shall require the Operator to issue a warning before taking proportionate action.
13.3. The Platform may generate Business Profiles using publicly available information for the purpose of allowing Patrons to leave Reviews and making Businesses visible on the Platform. The Operator may modify, restrict, suspend or remove such profiles where the information displayed appears incorrect, where the profile is being misused or manipulated, where legal issues are brought to the Operator’s attention, or where continued display is no longer considered appropriate in light of the nature and purpose of the Platform.
13.4. The existence of an auto-generated profile does not create any contractual relationship between the Operator and the Business concerned. A Business may request correction, verification or removal of information in accordance with these Terms and the Complaints and Notice Procedure.
13.5. Where a Business has claimed or created a profile, the Operator may suspend or terminate the profile where the Business breaches these Terms, provides false or misleading information, engages in Review manipulation, or otherwise acts in a manner that undermines the integrity of the Platform. Termination of a Claimed Profile shall not affect the continued display of lawfully submitted Patron Reviews unless removal is otherwise justified under these Terms or applicable law.
13.6. In determining whether to suspend or terminate access, the Operator shall consider the nature, seriousness and frequency of the conduct concerned. However, nothing in this Section shall limit the Operator’s right to take immediate and proportionate action where reasonably required.
13.7. Upon suspension or termination, access to the Platform may be revoked and content may be removed, retained or archived where reasonably necessary for legitimate operational, legal or regulatory purposes and in accordance with applicable data protection laws.
13.8. Termination shall not affect any accrued rights or obligations arising prior to termination and shall not prejudice the Operator’s rights under the Limitation of Liability, Indemnity or Intellectual Property provisions of these Terms.
13.9. To the fullest extent permitted by law, the Operator shall not be liable for any loss, damage or reputational impact arising from suspension, restriction or termination of access undertaken in accordance with these Terms.
14. Amendments to these Terms
14.1. The Operator reserves the right to amend, update or modify these Terms from time to time to reflect changes in the Platform’s functionality, moderation standards, business model, or applicable legal and regulatory requirements.
14.2. The date of the most recent update shall always be indicated at the top or bottom of these Terms.
14.3. Where changes are material in nature, the Operator shall make reasonable efforts to notify Patrons and Businesses. Such notification may be provided through a prominent notice on the Platform, including by way of a pop-up notification, banner announcement, or, where appropriate, by email to registered account holders.
14.4. Notification shall be deemed effective upon publication on the Platform or, where applicable, upon sending the email notification. Failure by a Patron or Business to view, read or receive such notification shall not invalidate the updated Terms.
14.5. Continued access to or use of the Platform after the updated Terms have been published shall constitute acceptance of the amended Terms, whether or not the Patron or Business has Reviewed the updated version.
15. Data Protection & Privacy
15.1. The Operator processes personal data in connection with the operation of the Platform, including in relation to account registration, submission and publication of Reviews, creation and management of Business Profiles, verification procedures, sponsored content, and the handling of complaints and disputes. For the purposes of applicable data protection legislation, the Operator acts as the data controller in respect of personal data processed through the Platform, except where otherwise expressly stated.
15.2. Personal data shall be processed in accordance with applicable data protection laws, including Regulation (EU) 2016/679 (the General Data Protection Regulation) and applicable Maltese data protection legislation.
15.3. Patrons acknowledge that Reviews submitted to the Platform are publicly visible and may contain personal data. By submitting a Review, a Patron confirms that any personal data included is limited to what is necessary to describe a genuine experience and that such disclosure does not unlawfully infringe the rights of any third party. Patrons must not include private contact details of individuals, including telephone numbers, email addresses or residential addresses, unless such information is publicly available in a business context and relevant to the Review. The Operator reserves the right to remove or redact personal data where it considers such inclusion excessive, inappropriate or unlawful.
15.4. Business Profiles may contain business contact details, branding and publicly available information. Where a Business creates or claims a profile, the Business is responsible for ensuring that any personal data it submits is accurate, appropriate for public business use, and disclosed in compliance with applicable data protection laws. The Business warrants that it has the necessary authority and lawful basis to provide such information for publication. Contact details included in a Business Profile should relate to the Business itself or to individuals acting in a professional capacity. The Operator reserves the right to remove or redact personal data that appears excessive, inappropriate or inconsistent with the purpose of the Platform.
15.5. Individuals whose personal data is processed through the Platform may exercise their rights under applicable data protection law, including the right to access, rectify or erase personal data, restrict processing, or object to processing, subject to applicable legal limitations. Requests relating to personal data shall be handled in accordance with the Platform’s Privacy Policy.
15.6. Personal data shall be retained only for as long as necessary for the purposes for which it was collected, including for legitimate operational, legal or regulatory purposes, and in accordance with applicable data protection laws.
15.7. Further information regarding how personal data is collected, used, stored, protected and shared, including details of lawful bases and retention periods, is set out in the Privacy Policy, which forms part of the Platform’s legal framework and is available on the Platform. By using the Platform, Patrons and Businesses acknowledge that they have read and understood the Privacy Policy.
16. Governing Law & Jurisdiction
16.1. These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or the use of the Platform shall be governed by and construed in accordance with the laws of Malta.
16.2. Where a Patron is acting as a consumer, nothing in these Terms shall deprive that Patron of any mandatory rights afforded to them under applicable consumer protection laws.
16.3. Subject to paragraph 16.2, the courts of Malta shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms or the use of the Platform.
17. General Provisions
17.1. If any provision of these Terms is found to be invalid, unlawful or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed to the extent necessary and the remaining provisions shall remain in full force and effect.
17.2. Failure or delay by the Operator in exercising any right or remedy under these Terms shall not constitute a waiver of that right or remedy, nor shall it prevent or restrict the further exercise of that or any other right.
17.3. Nothing in these Terms shall be construed as creating a partnership, joint venture, agency or employment relationship between the Operator and any Patron or Business. The Operator does not act as agent, representative or intermediary for any listed Business in respect of the goods or services Reviewed.
17.4. The Operator may assign, transfer or novate its rights and obligations under these Terms in connection with a restructuring, sale or transfer of the Platform. Patrons and Businesses may not assign or transfer their rights or obligations without the prior written consent of the Operator.
17.5. These Terms, together with the Privacy Policy and any policies expressly referenced herein, constitute the entire agreement between the Operator and Patrons and Businesses in relation to the use of the Platform and supersede any prior representations or agreements relating to its subject matter.
17.6. Any provisions of these Terms which by their nature are intended to survive termination, including but not limited to Intellectual Property, Limitation of Liability, Indemnity and Governing Law, shall continue in force following suspension or termination.
